3D Systems Completes Sale of Geomagic Software Portfolio to Hexagon
3D Systems has announced the successful completion of the sale of its Geomagic software portfolio to the Manufacturing Intelligence Division of Hexagon, a global leader in digital reality solutions, for $123 million before working capital adjustments and following the satisfaction of customary regulatory approvals and closing conditions.
As part of its strategic focus, 3D Systems will now concentrate on advancing its core additive manufacturing software platforms, including 3D Sprint and 3DXpert, as well as the Oqton Industrial Manufacturing OS. The Company intends to continue expanding the capabilities of these solutions by leveraging artificial intelligence and automation to enable accelerated adoption of 3D printing technologies in high-volume, production environments.
“Hexagon is well-positioned to take the Geomagic portfolio to new heights, ensuring continued innovation and value for its users,” said Dr. Jeffrey Graves, president & CEO of 3D Systems. “We are grateful for the contributions of our Geomagic team members and confident they will thrive in this next chapter. For 3D Systems, with today’s completed sale, we are pleased to further strengthen our balance sheet and continue our focus on fueling profitable organic growth through R&D and investing in our core platforms. By concentrating on 3D Sprint, 3DXpert, and Oqton, we will enhance our ability to deliver innovative solutions that improve workflows, reduce costs, and enable our customers to scale production effectively. With approximately $100 million of net proceeds coming to our balance sheet, the transaction significantly enhances our cash reserves and provides us with an exceptional footing to execute in the quarters ahead.”
Integrated into its Manufacturing Intelligence division, the Geomagic software solutions will be supported and sold to the discrete manufacturing market – complementing portfolios in Hexagon’s other markets such as mining and construction. The suite comprises software for measurement and quality control, mesh and surface model creation, and parametric scan-to-CAD workflows for highly efficient reverse engineering.
Josh Weiss, President at Hexagon’s Manufacturing Intelligence division commented: “We are delighted that Geomagic has joined Hexagon. The software and the team are pioneers in the creation of powerful and intuitive scan-based reverse engineering, inspection and design tools. The suite is imperative to manufacturing industry success, and provides the experience that their global customers, partners and hardware OEMs need. We will continue to support all hardware and software partnerships for Geomagic customers. We will invest in developing and supporting this software with our considerable expertise and IP to offer our portable metrology device users greater productivity and new capabilities”
A key aspect of the Geomagic suite is that it works with any 3D scanner or portable CMM. The software supports reverse engineering and metrology workflows with 3D scanning devices from a broad section of optical, laser and LiDAR scanning devices from any vendor, and Hexagon will continue to offer all global customers continued access to the full software portfolio and support native CAD and PMI data import from Dassault CATIA, PTC Creo, Autodesk Inventor, Siemens NX, and Dassault SOLIDWORKS.
Other software solutions in the Geomagic suite include Geomagic for SOLIDWORKS, which enables SOLIDWORKS CAD users to reverse engineer scan data directly inside their native SOLIDWORKS workspace, Geomagic Wrap, which provides fast and accurate NURBS surface creation from large point clouds and meshes, and Geomagic Freeform – the industry’s most comprehensive organic design solution with applications across personalised healthcare, Orthotics & Prosthetics and industrial design.
Hexagon’s global hardware customers will benefit from new integrated reverse engineering and metrology capabilities, with direct scanning support from its full range of sensors including the recently launched SmartScan VR800, ATLASCAN Max and MARVELSCAN products.
